Terms & Conditions

These Terms & Conditions ("Terms") govern access to and use of SensyChat (the "Service"), operated by Prefix Infotech Private Limited ("we", "us", "our"), a company based in New Delhi, India. By creating an account or using the Service, you ("Customer", "you") agree to these Terms. If you do not agree, please do not use the Service.

1. What the Service does

The Service lets a business connect its own WhatsApp number (via Meta's official WhatsApp Cloud API) to send and receive messages, automate replies using an AI assistant and rule-based bots, run bulk campaigns, manage leads and contacts, and track complaints and orders through a single dashboard. We provide the software; we are not a party to the conversations you have with your customers, and we do not represent that any AI-generated reply will always be accurate — the AI is a helper, not a replacement for human judgement, and you remain responsible for what is sent from your number.

3. WhatsApp & Meta Business compliance

The Service operates on top of Meta's WhatsApp Business Platform. You agree to comply with Meta's WhatsApp Business Messaging Policy and Commerce Policy at all times, including rules around opt-in consent, template approval, and prohibited content categories. We may suspend messaging features for your account if Meta restricts, flags, or bans the connected number, and we are not responsible for actions Meta takes against your WhatsApp Business Account.

4. Plans, billing & usage limits

Paid plans are billed in advance for the period shown at checkout (monthly or yearly) and include the message, contact, bot, and WhatsApp-account limits described on the pricing page. Payments are processed through our payment partners (currently Razorpay and/or Cashfree); we do not store your card, UPI, or bank details ourselves. Continued use of the Service after a plan renewal constitutes acceptance of the charge for that period. See our Refund & Cancellation Policy for cancellations and refunds.

5. Acceptable use

You agree not to use the Service to send unsolicited bulk messages to recipients who have not opted in, to send content that is unlawful, defamatory, fraudulent, or infringes someone else's rights, or to attempt to interfere with, reverse-engineer, or overload the Service's infrastructure. We may suspend or terminate accounts that violate this section, with or without notice, where reasonably necessary to protect the Service or other users.

6. Data you send through the Service

You retain ownership of the contacts, messages, leads, and other business data you upload or generate while using the Service. We process this data on your behalf to provide the Service, as described in our Privacy Policy. You are responsible for having a lawful basis (such as customer consent) to message the contacts you upload.

7. Service availability

We aim to keep the Service available at all times but do not guarantee uninterrupted access. Scheduled maintenance, third-party outages (including Meta's WhatsApp Cloud API or our hosting/payment providers), or events outside our reasonable control may cause temporary downtime.

8. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of your use of the Service is limited to the amount you paid us in the three months preceding the claim. We are not liable for indirect, incidental, or consequential losses, including lost profits or lost messages, arising from third-party outages (Meta, payment gateways, SMS/email providers) that are outside our control.

9. Termination

You may stop using the Service at any time. We may suspend or terminate an account for breach of these Terms, non-payment, or misuse of the WhatsApp platform. On termination, your right to access the Service ends; certain data may be retained as described in our Privacy Policy for legal or accounting purposes.

10. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above; continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

11. Governing law

These Terms are governed by the laws of India. Courts in New Delhi, India shall have exclusive jurisdiction over any dispute arising from these Terms or use of the Service.
